If any such contingency occurs, UNICORP may distribute production and deliveries among its customers as UNICORP sees fit. The rights and obligations of all parties hereto shall be governed by and construed in accordance with the laws of the state of New Jersey. All disputes shall be adjudicated in the state of New Jersey. These Terms and Conditions shall take precedence over all others. A purchase order will accept these terms. In the event that the customer defaults in the agreement of these terms and condition of sale, customer shall be liable to UNICORP for all losses, costs and expenses incurred by UNICORP by reason of the default including, without limitation, UNICORP’s attorney, court and collection
fees, whether or not suit or action is initiated.

Credit Card, Check & Wire Transfer Fraud / Theft Policy:
Due to the increasing problem of Credit/Debit Card, Check, Wire
Transfer fraud, Unicorp has been forced to setup and enforce the following policy. We
hope that this policy will encourage most customers and ensure
them that we take fraud and theft seriously and work to do everything possible to protect those who are honest.
Unicorp considers the submission of fraudulent or stolen
Credit / Debit Card, Check, Wire Transfer information for products ordered to be prima facie evidence of fraud and theft.
It is the policy of Unicorp to report all forms of Credit/Debit Card, Check, Wire Transfer fraud and/or attempted fraud to the appropriate legal authorities, regardless of country of origin, and to vigorously prosecute individuals and/or companies that commit fraud by means of charge-backs, use of fraudulent or stolen Credit/Debit Card, Check, Wire Transfer or other forms of theft and fraud. Individuals and/or companies ordering products and services should be aware that Unicorp captures certain information concerning orders, including but not limited to time, date, IP address and other information which may be used to locate and identify individuals attempting to commit or committing theft by means of Credit/Debit Card, Check, Wire Transfer fraud.
Unicorp may seek to obtain other legal remedies, both civil and criminal, including but not limited to, other expenses, damages, court costs, attorneys fees and statutory interest resulting from the Credit / Debit Card, Check, Wire Transfer fraud and/or attempted fraud.
Unicorp reserves the right to investigate and/or cancel all orders that may have been placed fraudulently. All orders that are suspected to have been placed fraudulently will be investigated using all available information. Unicorp reserves the right to cancel those orders found to be fraudulent.
